As used in this Agreement, "How it could be different," "we," "us," or "our" shall mean How it could be different LLC its subsidiaries and affiliates, and their officers, directors, employees, agents or representatives.

By accessing or using the Sites or using any service provided by or referenced in the Sites, you signify your assent to the terms and conditions of use and the privacy policies contained on or referenced in the Sites (the "Agreement"). If you do not agree to this Agreement, please do not use the site. As a condition of this Agreement, you further acknowledge that we may, in our sole discretion, modify this Agreement at any time. All modifications to this Agreement will be effective immediately upon our posting of any modifications on this site, and you hereby agree to any modifications. By accessing and using the Sites, you acknowledge and agree to abide by all applicable intellectual property laws, as well as any additional notices or restrictions contained on the Sites. No Materials from the site may not be copied, reproduced, republished, uploaded, posted, transmitted or distributed in any way, except that you may download one copy of the Materials on any single computer for your non-commercial use only, provided that you keep intact all copyright and other proprietary notices. Modification of the Materials or unauthorized use of the Materials for any other purpose is a violation of How it could be different™ trademark, copyright, trade dress and other proprietary rights. By accessing or using the Sites, you acknowledge that third party service providers or vendors may impose additional terms and conditions of use set forth elsewhere in this Agreement or on such third party’s site. Your use of Materials provided by such third party service providers or vendors is also subject to those additional terms and conditions of use.

In the event that you download any software from the Sites, the software, including any files, images incorporated in or generated by the software, and data accompanying the software (collectively, the "Software") is non-exclusively licensed to you by How it could be different. How it could be different does not transfer title to the Software to you. How it could be different retains full and complete title to the Software, and all intellectual property rights therein. You shall not redistribute, sell, decompile, reverse engineer, disassemble, or otherwise reduce the Software to a human-perceivable form.

The trademarks, service marks, domain names and trade dress displayed on the Sites, whether registered or unregistered, are owned by How it could be different unless otherwise noted, and are protected by trademark laws in the United States and other countries. How it could be different™ marks, names, logos and trade dress include, but are not limited to, the following: How it could be different; howitcouldbedifferent.org Website trade dress. The use or misuse of these trademarks/service marks or any other Materials, except as permitted herein, is expressly prohibited and may be in violation of trademark laws, unfair competition laws and/or other relevant laws. Please be advised that How it could be different actively and aggressively enforces its intellectual property rights to the fullest extent of the law.

USER CONTENT AND INTERACTIVE AREAS

We strive to maintain a high level of integrity with our user-submitted Ratings and Reviews, and any submission that is determined to be disingenuous in any way, or could otherwise diminish the integrity of our voting, suggesting, and commenting, will be removed.

PROCEDURE FOR MAKING COPYRIGHT INFRINGEMENT CLAIMS

NO UNLAWFUL OR PROHIBITED USE/MONITORING OF WEBSITE

By using and accessing this Website, you agree that you will not use the site for any unlawful purpose or engage in any use prohibited by this Agreement. You further agree that you will not use the Website in any manner that could damage, disable, overburden or impair any How it could be different server, or the network(s) connected to any How it could be different server, or interfere with any other party’s use and enjoyment of the Sites. You may not attempt, through any means, to gain unauthorized access to any part of the Sites or any service, other account, computer system or network connected to any How it could be different server.

How it could be different reserves the right, in its sole discretion, to monitor any and all use of the Sites.

VIOLATIONS OF AND CHANGES TO THE AGREEMENT

How it could be different reserves the right to seek all remedies available at law and in equity for violations of the Agreement, including the right to block access from a particular Internet address to the Sites.

How it could be different reserves the right, in its sole discretion, to revise and amend the Agreement at any time. You acknowledge and agree that you are bound by any changes or modifications to this Agreement upon publication of such changes or modifications on our site. Accordingly, we recommend that you review the Agreement before providing us with any information. Our privacy policy was last updated on October 1st, 2012.

SUBMISSION OF IDEAS AND LICENSE OF USE

How it could be different offers the member the Creative Commons Attribution 2.5 license when voting, suggesting, or commenting on ideas as well as creating member profiles on the site. More information can be found at Creative Commons Attribution 2.5.

If at our request you send certain additional specific submissions or, despite our request that you not send us any other further Materials, you send us further suggestions, ideas, notes, drawings, concepts, Materials or other information (collectively, the “Additional Submissions”), the Additional Submissions shall be deemed to be licensed free of charge, on a non-exclusive, irrevocable, world-wide and perpetual basis to How it could be different.

By submitting your idea to How it could be different, you automatically grant How it could be different a non-exclusive, perpetual, royalty free, irrevocable, world-wide, right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, license, sub-license and distribute your idea (and/or the Materials and/or the Additional Submissions) or incorporate your Idea (and/or the Materials and/or the Additional Submissions) into any form, medium, or technology now known or later developed throughout the universe.

In consideration or How it could be different reviewing your idea for possible inclusion on the How it could be different Website (the “Website”) and/or publishing your idea, you hereby warrant that: 4.1 the idea (and the Materials and the Additional Submissions) are your sole and exclusive original work or they have been cited properly with a link to the original source of the idea; 4.2 the idea is not the “confidential information” of a third party; 4.3 you may disclose the idea to How it could be different, without such disclosure infringing upon the rights of any third party (and without you, or any third party, requiring payment); 4.4 your sole ownership of the idea is not being disputed, nor is it the subject of any claim, by any third party. 4.5 all so-called moral rights in the idea and/or the Materials and/or the Additional Submissions have been waived. 4.6 the idea, the Materials and the Additional Submissions are not defamatory nor obscene. 4.7 you waive in their entirety (and in perpetuity) your intellectual property rights in the Idea, the Materials and the Additional Submissions (as against How it could be different and any third party)

Neither the Idea, the Materials nor the Additional Submissions shall be subject to any obligation of confidence on the part of How it could be different, and How it could be different shall not be liable for any use or disclosure of any part of the Idea, Materials or Additional Submissions. Without limitation of the foregoing, How it could be different shall have a non-exclusive, world-wide irrevocable and perpetual license to use all now known or hereafter existing rights to the Additional Submissions of every kind and nature throughout the universe and shall be entitled to unrestricted use of the Additional Submissions for any purpose whatsoever, commercial or otherwise, without compensation to you.

How it could be different reserves the right to remove your Idea (and/or Materials and/ or Additional Submissions) from the How it could be different Website(s) at any time, for any reason, at How it could be different’s sole discretion.

You hereby grant to How it could be different the non-exclusive, irrevocable, royalty free, world-wide, perpetual right to publish in any medium (now known or hereafter invented), copy and/or distribute copies of your Idea (and/or the Materials or Additional Submissions) that you submit to How it could be different in any medium.

How it could be different will use its reasonable commercial endeavors to appropriately publish on its Website (in proximity to your idea, and/or materials) an appropriate notice to the effect that the Idea and/or Materials and/or Additional Submissions were submitted by you.

These terms and conditions apply to the Idea as a whole (which shall include any translation of the Idea and/or Materials and/or Additional Submissions in any language).

GOVERNING LAW

You acknowledge and agree that your access to and use of the Sites is subject to all applicable international, federal, state and local laws and regulations. The terms, conditions and policies contained in this Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to any principles of conflicts of law, and all claims, disputes or disagreements which may arise out of the interpretation, performance or in any way relating to your use of the Sites, shall be submitted exclusively to the jurisdiction of the State or federal courts located in the County and State of New Jersey. You acknowledge and agree that you will irrevocably consent and submit to the exclusive personal jurisdiction of those courts for the purpose of litigating any such action; and you will irrevocably waive any jurisdictional, venue or inconvenient forum objections to such court. Any waiver by How it could be different of any provision of this Agreement must be in writing.
